Terms of Service

1. Acceptance of Terms

By accessing or using speckt, a service operated by speckt Labs LLC ("speckt", "we", "our", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using speckt on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the service.

2. Description of Service

speckt is a video inspection platform for automotive dealerships. The service allows dealership technicians to record vehicle inspections using a mobile application, generates AI-narrated video reports, and delivers those reports to vehicle owners via SMS, email, and web links. Dealership staff manage inspections and repair orders through a web dashboard.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice to active subscribers.

3. User Accounts and Responsibilities

To use speckt, you must create an account with a valid email address. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Ensuring that all users in your organization comply with these Terms
• Providing accurate and current account information

You must notify us immediately at support@speckt.io if you become aware of any unauthorized use of your account.

4. Acceptable Use Policy

You agree not to use speckt to:

• Violate any applicable law or regulation
• Record inspections for vehicles you do not have authorization to inspect
• Transmit or store content that is unlawful, defamatory, or fraudulent
• Attempt to reverse engineer, decompile, or extract source code from the platform
• Interfere with or disrupt the integrity or performance of the service or its infrastructure
• Use automated means to access the service in ways that exceed normal usage patterns
• Resell or sublicense access to the service without our prior written consent

5. Intellectual Property

speckt and all underlying technology, trademarks, and content owned by speckt Labs LLC remain our exclusive property. These Terms do not grant you any rights to our intellectual property other than the limited license to use the service as described herein.

You retain ownership of the inspection videos and data your organization submits to the platform. By uploading content, you grant us a limited, non-exclusive license to store, process, and transmit that content solely to provide the service to you.

6. Mobile Messaging

The speckt mobile message service (the "Messaging Service") is operated by speckt Labs LLC. Your use of the Messaging Service constitutes your agreement to these mobile terms. We may modify or cancel the Messaging Service or any of its features without notice.

By providing your phone number to a participating dealership, you consent to receive recurring SMS/text messages from and on behalf of that dealership through speckt to the mobile number provided. Text messages may be sent using automated technology. Messages may include vehicle inspection results, service recommendations, and review reminders.

You understand that you do not have to consent to receive text messages in order to receive service from your dealership. Your consent is not a condition of any purchase. Your participation in this program is completely voluntary.

We do not charge for the Messaging Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details.

You may opt out of the Messaging Service at any time. Reply STOP to any message to cancel. No further messages will be sent to your mobile device unless initiated by you.

The wireless carriers supported by the Messaging Service are not liable for delayed or undelivered messages. You agree to provide a valid mobile number. If you get a new mobile number, you will need to provide it to your dealership to continue receiving messages.

To the extent permitted by applicable law, you agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Messaging Service, any errors in such information, and/or any action you may or may not take in reliance on the information or Messaging Service.

7. Payment Terms

speckt is a subscription-based service billed monthly. By subscribing, you authorize us to charge your payment method on a recurring monthly basis.

• Fees are charged in advance at the start of each billing period
• All fees are non-refundable except as required by law or as expressly stated in a separate agreement
• We reserve the right to change pricing with at least 30 days written notice to your account email
• Failure to pay may result in suspension or termination of your account

Enterprise or custom pricing terms agreed to in a separate written contract will govern over these general payment terms where they conflict.

Refund eligibility, cancellation procedures, and handling of failed payments are described in our Refund Policy.

8. Termination

Either party may terminate these Terms at any time. You may cancel your subscription through your account settings or by contacting support@speckt.io. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account immediately if you materially breach these Terms, fail to pay fees when due, or if we are required to do so by law. Upon termination, your right to access the service ends and we may delete your data in accordance with our data retention policy.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

speckt is a technology platform. Inspection videos may contain AI-generated narration based on findings provided by the dealership. We are not responsible for the accuracy of inspection findings, repair recommendations, or any decisions made by dealership staff or vehicle owners based on content delivered through the platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPECKT LABS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless speckt Labs LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the service, including but not limited to content you submit through the platform.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in California.

13. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will provide at least 14 days notice by email to the address on your account. Your continued use of the service after the effective date of changes constitutes your acceptance of the updated Terms.
